LionPack Holdings Inc. Terms and Conditions of Sale

1. Scope; Binding Effect These Terms and Conditions of Sale ("Terms") apply to all purchase orders accepted by LionPack Holdings Inc. ("Seller") and to all price quotations made by Seller. To the extent that these Terms conflict with or differ from those in any purchase order or other procurement documents submitted by the buyer ("Buyer"), these Terms shall control, and any additional or inconsistent terms are rejected by Seller. Buyer's acceptance of or payment for the goods conclusively confirms assent to these Terms.

2. Taxes All prices are exclusive of any sales, use, revenue, or excise taxes, customs duties, or other similar charges, all of which will be paid by Buyer.

3. Delivery All orders for products are final and may not be canceled by Buyer after acceptance by Seller. Upon commencement of production of any order, Buyer is responsible for the purchase price and all costs and expenses incurred by Seller concerning such order. Unless otherwise agreed: (a) delivery is FOB Seller’s warehouse in Ontario; and (b) title and risk of loss pass to Buyer upon the earlier of (i) tender of products to the carrier at the shipping point, or (ii) notice to Buyer that the products are available for pick-up by Buyer or its carrier. Seller will follow Buyer's shipping instructions; absent such instructions, Seller will ship by the method it deems most advantageous. Delivery dates are estimates only.

4. Payment Terms Payment terms are as specified in Seller's invoice. Seller reserves the right to require payment in advance or other satisfactory security for goods if Buyer’s financial condition so warrants.

5. Warranties Seller warrants that the products sold are free from defects in material and workmanship under normal use and service. This warranty is in lieu of all other warranties, express or implied, including any implied warranty of merchantability or fitness for a particular purpose. Seller's liability under this warranty is limited to replacing or repairing any defective products or, at Seller's option, refunding the purchase price of such products.

6. Limitation of Liability Seller shall not be liable for any indirect, incidental, or consequential damages arising from the sale or use of its products. Seller's total liability shall not exceed the purchase price of the specific products giving rise to the claim.

7. Governing Law These Terms and any sale of products hereunder will be governed by the laws of the Province of Ontario, Canada, without regard to its conflict of laws principles.

8. Entire Agreement These Terms, together with any order confirmation or invoice provided by Seller, constitute the entire agreement between Seller and Buyer regarding the sale of products and supersede all prior agreements or understandings, whether written or oral.

9. Amendments No amendment or modification of these Terms shall be binding unless in writing and signed by an authorized representative of Seller.

10. Severability If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

11. Waiver The failure of Seller to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

12. Assignment Buyer may not assign its rights or delegate its obligations under these Terms without the prior written consent of Seller.

13. Notices All notices required or permitted under these Terms shall be in writing and shall be deemed given when sent by certified mail, return receipt requested, or by a nationally recognized overnight delivery service to the addresses specified by the parties.

14. Force Majeure Seller shall not be liable for any delay or failure to perform its obligations under these Terms due to causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, or governmental actions.

15. Confidentiality Buyer agrees to maintain the confidentiality of any non-public information disclosed by Seller and not to use such information for any purpose other than the performance of its obligations under these Terms.

16. Compliance with Laws Buyer agrees to comply with all applicable laws and regulations concerning the purchase and use of products from Seller.

17. Indemnification Buyer agrees to indemnify and hold Seller harmless from any claims, damages, or expenses arising from Buyer's breach of these Terms or misuse of the products.

18. Returns and Refunds Returns are accepted only for defective or incorrect items, subject to Seller's approval. Customers must report issues within two days of receiving the order. Refunds or replacements will be processed upon inspection of returned items.

19. Intellectual Property All content on Seller's website, including text, images, and logos, is owned by Seller and protected by intellectual property laws. Buyer may not copy, distribute, or use any content without Seller's prior written permission.

20. Privacy Policy Seller's Privacy Policy governs how it collects, uses, and protects Buyer's data. Please review it at [link to Privacy Policy].

21. Changes to Terms Seller may update these Terms at any time without notice. Buyer's continued use of Seller's website or purchase of products constitutes acceptance of any changes.
